19 August 2008 - Automotive and industrial technology group Bosch has closed the acquisition of 44.76 per cent of the shares in German solar cell and wafer manufacturer ersol Solar Energy.
Bosch bought the shares from Ventizz, the former majority shareholder, following approval by the antitrust authorities. Bosch had earlier purchased a 29.34 per cent stake in ersol.
Together with the 11.38 per cent of shares it has been offered in the voluntary public takeover offer, Bosch now has a total shareholding of 85.48 per cent in ersol. In addition to this shareholding, the company has an agreement with Ventizz on an option to acquire a further 5.69 per cent of ersol shares.
This option can be exercised in March 2009. This means that the total Bosch shareholding, including the call option, in ersol could amount to 91.17 per cent. The execution of a domination agreement is not contemplated. The purchase price remains unchanged at €101 ($147) per share in cash.
