Dynegy board accepts resignation of Watson as Chairman/CEO

May 28, 2002 -- The Dynegy Inc. board of directors has announced that it has accepted the resignation of its Chairman and CEO Chuck Watson.

The company has named Glenn F. Tilton as interim chairman until it chooses a permanent replacement. It has also named Daniel L. Dienstbier interim chief executive. Dienstbier is president of Northern Natural Gas.

Steve Bergstrom is continuing with the company as president and chief operating officer. Otis Winters will continue to serve as lead director of the board.

Dynegy said it must focus on restoring the company's credibility, building on the strengths of its energy producing assets, and solidifying its achievements in energy marketing.
